1. Acceptance of Terms

By downloading, installing, or using the MindLoad mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Important: You must be at least 13 years old to use MindLoad. If you are under 18, you must have your parent or legal guardian's permission to use the App.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through:

In-app notifications
Email to your registered address
Prominent notice on our website

Your continued use of the App after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and may delete your account.

3. Description of Service

MindLoad is an AI-powered study platform that provides:

3.1 Core Features

Document import and processing (PDF, text files, images)
AI-generated flashcards and quizzes
Study plans and reminders
Progress tracking and analytics
Achievement system
Cloud synchronization
Text-to-speech summaries
Binaural beats focus mode

3.2 Token System

MindLoad uses a token-based system for AI generation
New users receive 5 free tokens
Additional tokens can be purchased through in-app purchases
Tokens never expire
Tokens are non-refundable except as required by law

3.3 Service Availability

We strive to maintain 99% uptime but do not guarantee uninterrupted access. The App may be unavailable due to:

Scheduled maintenance
Technical issues
Force majeure events
Security incidents

4. User Accounts

4.1 Account Creation

To use MindLoad, you must:

Be at least 13 years old
Provide accurate and complete information
Maintain the security of your account credentials
Not share your account with others
Notify us immediately of any unauthorized access

4.2 Account Termination

We reserve the right to suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent activity
Upload prohibited content
Abuse the token system
Harm other users or the service

You may delete your account at any time through Settings > Privacy & Security > Delete Account.

5. User Content and Conduct

5.1 Your Content

You retain ownership of all content you upload to MindLoad ("User Content"). By uploading User Content, you grant us a limited license to:

Process and analyze the content
Generate flashcards, quizzes, and study materials
Store and sync across your devices
Improve our AI models (anonymized and aggregated only)

5.2 Content Restrictions

You may NOT upload content that:

You do not own or have rights to use
Is copyrighted without permission (e.g., full textbooks, published materials)
Contains personal information of others
Contains malware, viruses, or harmful code
Is illegal, obscene, defamatory, or hateful
Violates any third-party rights
Contains medical records or protected health information (PHI)
Contains financial data (credit cards, bank accounts, SSNs)

5.3 Copyright Attestation

By uploading content, you attest that:

You own the content or have permission to use it
The content does not infringe any copyright, trademark, or other rights
You understand that uploading copyrighted material without permission is illegal

5.4 Academic Integrity

MindLoad is a study aid, not a cheating tool. You agree to:

Use the App for legitimate educational purposes
Not use generated content to cheat on exams or assignments
Comply with your educational institution's honor code
Not share generated content with others for commercial purposes

We are not responsible for academic integrity violations. Use responsibly.

6. Intellectual Property Rights

6.1 MindLoad's IP

The App, including all software, designs, logos, trademarks, and content (excluding User Content) is owned by MindLoad AI and protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, modify, or reverse engineer the App
Remove copyright or trademark notices
Use our trademarks without permission
Create derivative works
Scrape or data mine the App

6.2 Your Rights

You retain all rights to your User Content. We do not claim ownership of your study materials, notes, or uploaded documents.

6.3 AI-Generated Content

Content generated by MindLoad's AI (flashcards, quizzes, summaries) is provided "as-is" for your personal use. While you may use this content for studying, you acknowledge that:

AI-generated content may contain errors
We do not guarantee accuracy or completeness
You are responsible for verifying important information

6.4 AI Disclosure (2025 Compliance)

In compliance with 2025 AI transparency requirements, we disclose:

AI Technology Used: MindLoad uses artificial intelligence and machine learning to process documents and generate study materials
Automated Decision-Making: AI is used to analyze content, extract key concepts, and generate flashcards and quizzes automatically
Human Oversight: While AI generates content, you have full control to edit, delete, or regenerate any AI-created materials
No Profiling: We do not use AI to make decisions that significantly affect you legally or financially
Limitations: AI may produce inaccurate, incomplete, or biased content - always verify critical information

7. Prohibited Activities

You agree NOT to:

7.1 Abuse the Service

Attempt to gain unauthorized access
Interfere with the App's operation
Overload or attack our servers
Circumvent usage limits or token requirements
Create multiple accounts to abuse free tokens

7.2 Violate Laws

Use the App for any illegal purpose
Upload content that violates local, state, federal, or international law
Violate copyright, trademark, or privacy laws

7.3 Harm Others

Harass, threaten, or impersonate other users
Share others' personal information without consent
Spread malware or harmful content

7.4 Commercial Misuse

Resell or redistribute generated content
Use the App for commercial purposes without authorization
Compete with MindLoad using our data or AI

8. Purchases and Refunds

8.1 Token Purchases

All purchases are processed through Apple App Store or Google Play Store
Prices are subject to change with notice
Tokens are non-transferable and non-refundable
Tokens do not expire

8.2 Refund Policy

Refunds are handled according to Apple and Google's policies:

Apple: Subject to Apple's refund policy
Google: Subject to Google Play's refund policy

If you believe you are entitled to a refund, contact support@mindload.app within 30 days of purchase.

8.3 Subscription (Future Feature)

If we introduce subscriptions in the future, separate terms will apply.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY

9.2 AI Accuracy

We do not guarantee that:

AI-generated content is accurate
Flashcards or quizzes are error-free
The App will help you achieve specific academic results

Always verify AI-generated content against authoritative sources.

9.3 Educational Use Only

MindLoad is a study tool, not professional advice. We provide:

NO medical advice
NO legal advice
NO financial advice
NO professional counseling

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDLOAD AI SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, or goodwill
Academic failures or consequences
Damage exceeding the amount you paid us in the past 12 months

9.5 Exclusions

Some jurisdictions do not allow certain limitations, so the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless MindLoad AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the App
Your violation of these Terms
Your violation of any rights of third parties
Your User Content
Your academic integrity violations

11. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using the App, you consent to:

Data collection as described in the Privacy Policy
Data processing in the United States
International data transfers (for users outside the U.S.)

12. Third-Party Services

12.1 App Stores

Your use of the App is also subject to:

Apple's Terms of Service (for iOS users)
Google Play Terms of Service (for Android users)

12.2 Third-Party Content

MindLoad may contain links to third-party websites or services. We are not responsible for:

Third-party content or practices
Privacy policies of external sites
Availability of external resources

13. Copyright Infringement (DMCA)

We respect copyright law and expect users to do the same.

14. Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Before filing any legal claim, you agree to contact us at legal@mindload.app to attempt informal resolution.

14.3 Arbitration

Any disputes shall be resolved through:

Binding arbitration under the American Arbitration Association
OR: Courts of competent jurisdiction, and you consent to personal jurisdiction

14.4 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions.

14.5 Exceptions

The above does not apply to:

Small claims court proceedings
Injunctive relief

15. Termination

15.1 Your Rights

You may stop using the App at any time and delete your account through the App.

15.2 Our Rights

We may suspend or terminate your access if:

You violate these Terms
We must comply with legal obligations
The App is discontinued
For any reason with notice

15.3 Effect of Termination

Upon termination:

Your license to use the App ends immediately
We may delete your User Content after 30 days
Unused tokens are forfeited (non-refundable)
Provisions that should survive (liability, indemnification) remain in effect

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and AI Disclosure Policy, constitute the entire agreement between you and MindLoad AI.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

16.3 Waiver

Our failure to enforce any right does not waive that right.

16.4 Assignment

You may not assign these Terms. We may assign them to a successor or affiliate.

17. App-Specific Terms

17.1 Mobile Devices

You are responsible for:

Data charges from your mobile carrier
Device security and anti-virus protection
Keeping your device OS up to date

17.3 Permissions

The App requires certain permissions (camera, storage, notifications). You can revoke permissions through your device settings, but this may limit functionality.

18. Beta Features

We may offer beta or experimental features. These are:

May contain bugs or errors
Subject to separate beta terms if applicable

19. Export Control

You agree to comply with all export and import laws. You represent that you are not:

Located in an embargoed country
On any U.S. government prohibited or restricted party list

21. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

War, terrorism, or civil unrest
Internet outages
Government actions
Pandemics

Acknowledgment

BY USING MINDLOAD, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

If you do not agree, you must immediately stop using the App and delete your account.
